1. Scope & Master Agreement Framework
These Master Terms and Conditions ("Terms" or "Agreement") constitute a binding commercial agreement entered into by and between YouvaInfo ("YouvaInfo", "Company", "we", "our", or "us"), a technology consulting and software engineering firm with corporate offices at Dev Prime Makarba, Ahmedabad, Gujarat 380051, India, and the corporate entity or person ("Client", "you", or "your") accessing our services or digital properties (https://youvainfo.com).
This Agreement governs all commercial software development proposals, Statements of Work (SOW), Requests for Proposals (RFP), technical architectural consulting, cloud engineering, and digital support contracts executed between the parties.
In the event of any direct operational conflict between these Master Terms and a mutually countersigned Statement of Work (SOW) or Service Level Agreement (SLA), the specific terms and pricing of the SOW shall supersede these Master Terms for that specific engagement.
2. Professional Services & Delivery Framework
YouvaInfo provides high-caliber digital engineering across enterprise technology stacks. Our engagement lifecycle follows agile sprint cadences:

3. Intellectual Property & Ownership Assignment
1. Bespoke Client Deliverables: Upon receipt of full and final financial settlement for the applicable milestone or project, YouvaInfo unconditionally assigns and transfers to the Client all right, title, and interest—including all copyright, patent rights, trade secret rights, and other intellectual property rights—in and to all bespoke source code, schema designs, UI/UX artifacts, and documentation created specifically for the Client under that engagement.
2. Pre-Existing IP & Internal Toolkits: YouvaInfo retains sole ownership of its pre-existing proprietary developer tooling, boilerplate code repositories, scaffolding scripts, and algorithmic frameworks developed independently of this Agreement. To the extent such components are incorporated into Client deliverables, YouvaInfo grants the Client a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to utilize, compile, and execute such items as integrated into the final solution.
3. Open Source Frameworks: Deliverables may leverage established open-source software libraries (such as Laravel, Vue, Bootstrap, React, PHP packages). These components remain governed by their respective licenses (e.g., MIT, BSD, Apache 2.0).
4. Client Responsibilities & Project Governance
Successful enterprise project delivery relies on collaborative transparency. The Client commits to:
- Designated Authority: Designate a qualified Single Point of Contact (SPOC) authorized to approve sprint milestones, review code architectures, and provide binding sign-offs.
- Timely Asset Delivery: Provide necessary API keys, test sandboxes, third-party credentials, and domain assets required for development without causing project suspension.
- Review SLA: Review and provide structured, unified feedback on staging environments or sprint deliverables within five (5) to seven (7) business days of milestone handover.
- Warranties of Provided Assets: Warrant that all text, media, graphics, fonts, databases, and assets provided to YouvaInfo are fully owned or properly licensed and do not infringe any third-party rights.
5. Commercial Invoicing, Milestones & Taxes
Milestone-Based Billing: Fixed-scope engagements are billed according to structured project milestones defined in the Statement of Work:
Mobilization Deposit
Advance deposit securing dedicated engineering resources, architecture design, and sprint kickoff.
Sprint Milestones
Interim milestone disbursements linked to demonstrable staging deployments and feature validation.
Production Release
Final balance payment prior to production server deployment, DNS migration, and full repository handover.
Taxes & Currencies: Invoices are rendered in INR (Indian Rupee) or designated foreign currencies (USD, EUR, GBP). All quotes are exclusive of statutory Indian Goods and Services Tax (GST) or applicable international withholding taxes, which shall be indicated on invoices. Payments are due within seven (7) to fourteen (14) days of invoice date.
6. Perpetual Confidentiality & Non-Disclosure
Both parties acknowledge that in the course of technical consulting, each party may obtain confidential and proprietary information belonging to the other, including source code, algorithmic logic, commercial strategies, customer data, and system architectures.
Confidentiality Standard: The receiving party agrees to maintain strict confidentiality, exercising the same degree of care it employs for its own proprietary records, but in no case less than a reasonable standard of enterprise care. Confidential information will not be disclosed to any third party without prior written authorization.
These confidentiality obligations shall survive the expiration or termination of this Agreement for a period of five (5) years, and indefinitely with respect to trade secrets and source code.
7. Post-Launch Warranty & SLA Support
Complimentary 30-Day Defect Warranty: YouvaInfo provides a complimentary thirty (30) calendar day warranty period commencing immediately upon official production launch or repository handover. During this period, YouvaInfo will rectify without additional charge any reproducible functional bug in code authored directly by YouvaInfo that fails to conform to agreed project specifications.
The warranty does not apply to: (a) Modifications or code injections performed by third parties or the Client's internal teams, (b) Outages attributable to third-party server hosting or cloud provider incidents, (c) External API deprecations or third-party breaking updates, or (d) Functional enhancements outside the original Statement of Work. Extended Annual Maintenance Contracts (AMC) and dedicated SLA support packages are available separately.
8. Cyber Security & Code Quality Standards
YouvaInfo architects software according to recognized security standards (such as OWASP Top 10 guidelines):
- Code is engineered with parameterized SQL queries, CSRF token validation, and input sanitization to neutralize injection and cross-site scripting attacks.
- Credentials, tokens, and cryptographic keys are strictly maintained in isolated environment files and never hard-coded into public version control.
- Quality assurance includes regression testing and staging reviews prior to deployment sign-off.
9. Limitation of Liability & Indemnity
Consequential Damages Waiver: To the maximum extent permitted under applicable law, neither party shall be liable to the other for any indirect, special, incidental, punitive, or consequential damages (including loss of business revenue, profits, data, goodwill, or operational interruption), even if advised of the possibility of such damages.
Liability Cap: In all circumstances, YouvaInfo's cumulative aggregate liability arising under or relating to any specific Statement of Work shall not exceed the total fees actually received by YouvaInfo under that specific Statement of Work in the three (3) months preceding the claim.
10. Termination & Offboarding Framework
Either party may terminate an engagement or Statement of Work for cause upon fourteen (14) days prior written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice window.
Settlement & Asset Handover: Upon termination, the Client shall promptly compensate YouvaInfo for all services rendered, hours logged, and milestones achieved up to the effective termination date. Upon receipt of cleared funds, YouvaInfo will transfer all completed deliverables, code artifacts, and assets corresponding to paid milestones.
11. Governing Law & Dispute Resolution
This Agreement and any dispute, controversy, or claim arising out of or relating to our commercial engagements shall be governed by, and construed in accordance with, the laws of India, without giving effect to any conflict of law principles.
The parties agree to attempt in good faith to resolve any dispute through executive consultation for thirty (30) days. Any dispute that remains unresolved shall be submitted to the exclusive jurisdiction of the competent courts situated in Ahmedabad, Gujarat, India.
